EULA - End User License Agreement

END-USER LICENSE

This software (including media and all courses data) is granted to you for
the agreed fee on terms of this License Agreement and is NOT SOLD TO YOU.
You have no rights, except as agreed in the present License Agreement, for
the intellectual property contained in this software. "Happy Chinese, Inc." Company
holds exclusive rights for this software and all its copies.
The software is protected by international intellectual property and software
laws.
The present License Agreement is the principal document, confirming the
software use legality, and has its own License Number.

1. General
1.1. This License Agreement is a legal agreement between you (End User)
and "Happy Chinese, Inc." Company.
1.2 The present software is a set of computer programs, databases and
documentation (including electronic documentation). The software also may
include updates and supplements, which, unless specified by a separate
license agreement or use conditions, are either granted to you directly or
accessed after purchasing the original program.
1.3. By installing, copying, or otherwise using the software, you agree to be
bound by the terms of the present License Agreement. If you do not agree,
do not install, copy, or use this software.
1.4. You are fully responsible for choosing, installing, use, and the results of
use of this software.

2. Subject of the Agreement
2.1. The subject of the present License Agreement is the transfer of rights for
use of the software in the territory and within the period agreed in the License
Agreement (non-exclusive license) by "Happy Chinese, Inc." as the copyright owner.
2.2. All the terms stipulated below concern both the software in its totality
and all its components, including software, supplied to you by Technical
Support service.

3. Copyright
3.1. "Happy Chinese, Inc." has exclusive rights for the software (including any
graphic images, photos, videos, sounds, texts, supplemental programs and other property),
accompanying printed materials and software copies. This software is
protected by the international copyright and intellectual property laws and
treaties.
3.2. Any use of the software in defiance of the present License Agreement is
prohibited and considered to be a material breach of agreement, and
therefore grounds for cancellation of your rights for the present software.

4. Terms of use
4.1. The scope of license
4.1.1. You may install and use only one copy of the program on one
computer, workstation, terminal, or other electronic device (further - Device).
4.1.2. As a licensee, you may create, install and register one copy of the
program on your notebook, if you agree not to use the software on the
portable and stationary computer simultaneously. The program license is
indivisible.
4.1.3. "Happy Chinese, Inc." reserves all the rights, not granted to you by this
License Agreement.

4.2. Backup copy
4.2.1. You are allowed to make one copy of the software for backing up or
archiving purposes only. The software backup copy is created for restoring
your copy of this software in case of damage. The backup copy cannot be
used for any other purpose.

4.3. Unregistered TRIAL VERSION
4.3.1. TRIAL VERSION (or EVALUATION VERSION) is a program, which either
has partially limited functionality or expires after a limited period of time. A
TRIAL VERSION may only be used to get acquainted with the program.
4.3.2. You are hereby licensed to make as many copies of the TRIAL VERSION
as you wish, and distribute them to anyone provided that all files are intact.
You must distribute the installed form of the TRIAL VERSION (not the files
resulting from the installation). You are not allowed to solicit payment for the
TRIAL VERSION (except for shipment and handling charges). Computer
magazines are authorized to distribute it on any Cover Disk or CD-ROM
without any permission. Please inform us via e-mail each time you hand out a
TRIAL VERSION.
4.3.3. Once you have registered a TRIAL VERSION with a registration key, it
will no longer be considered a TRIAL VERSION and thus may no longer be
freely distributed.

4.4. Registered software
4.4.1. The registered software may not be loaned or leased, but may be
permanently transferred, in its entirety, if the person receiving it agrees to
the terms of this license. If the software is an update, the transfer must
include the update and all previous versions.

4.5. End-User databases
4.5.1. You may create your own databases for the programs included in the
software set if such a right is stipulated in the documentation.

4.6. Use of the software components
4.6.1. You may use this software only as a unit. You are not allowed to
disassemble the software components and use them on different Devices
simultaneously.

4.7. "Not for resale" software
4.7.1. Software identified as "Not for Resale" or "NFR," may not be resold,
transferred or used for any purpose other than demonstration, test or
evaluation irrespective of the other terms of the present License Agreement.

4.8. Upgrades and add-ons
4.8.1. You may use the software identified as "Upgrade" or "Add-on" only if
you have a valid license for the program identified by "Happy Chinese, Inc." as a
product with updates (add-ons).
4.8.2. Software identified as "Upgrade" or "Add-on" is a substitute (addition)
for the program giving you the right for upgrades (add-ons).

4.9. Software Internet Wholesale
4.9.1. Any kind of software Internet Wholesale is prohibited. The Internet
Wholesale is herein understood as providing any unauthorized person with
access to the software components through the network or software selling,
loaning, hiring or lending.
4.9.2. You shall not transfer the rights for use of this software to any third
party.

4.10. Additional restrictions of use
4.10.1. Unless stipulated by applicable law, you shall not try to decompile
programs, databases or other components of the software.
4.10.2. Unless stipulated by the applicable law, you shall not make any
changes in the object codes of the programs or databases except those which
can be changed with the tools included in the software set and described in
the documentation.
4.10.3. You are not allowed to copy printed materials accompanying the
software.

5. Technical support
5.1. "Happy Chinese, Inc." can provide software technical support.
5.2. Technical support is provided according to the terms stipulated by
"Happy Chinese, Inc." in User Manual or any other documentation.
5.3. "Happy Chinese, Inc." technical support may ask you for information concerning
your system parameters or personal data.
5.4. "Happy Chinese, Inc." has the authority to use the above-mentioned
information for business development, including technical support services,
under the stipulation that these data will not be disclosed, transferred,
published, or sold to any third parties.

6. Trademarks
6.1. The present License Agreement does not provide you with any rights for
trademarks or service marks of "Trademarks, Inc.".

7. Remuneration
7.1. Remuneration herein is a sum of money, stated by "Happy Chinese, Inc." or its
distributors and payable in accordance with the established order (according
to the price list of "Happy Chinese, Inc." or its distributors).

8. Validity
8.1. The present License Agreement is considered to be concluded from the
moment you accept its terms.
8.2. You agree to be bound to the terms of this agreement by opening this
sealed disk package or installing the software on your computer, or using the
software in any other way, or by sending a filled registration card to
"Happy Chinese, Inc.".
8.3. The validity period of this License agreement is unlimited.

9. Responsibility
9.1. In case of breach of this License Agreement "Happy Chinese, Inc." has the
authority to ask for payment for damages, including loss of profit.

10. Limited warranty
10.1. This Limited Warranty is the only express warranty, replacing any other
guarantees mentioned in documentation or on the package. No other
agreement, written or oral, may broaden the limits of this warranty.
10.2. "Happy Chinese, Inc." guarantees compliance of the software components with
the related specifications, the quality of data on the magnetic media and CDs,
the operating capacity of the programs included in software package on the
conditions stated in the documentation (printed or electronic). The limited
warranty is valid for 30 (thirty) days from the date of purchasing the
software. During this time all claims on quality and completeness of delivery
are accepted.
10.3. The clause 10.2. is not applicable to the "Not for sale" software.
10.4. The software is supplied "as is". "Happy Chinese, Inc." does not guarantee
that the software is free of errors and misprints.
10.5. Neither "Happy Chinese, Inc." nor its official dealers shall be liable for any
direct or indirect consequences of any use of the program, including those
resulting from possible errors or misprints in the software (except for
compensation provided in clause 10.2. of the Limited Warranty).
10.6. "Happy Chinese, Inc." provides no guarantee, expressly or implicitly, that the
software shall meet the End-User requirements or expectations, or match the
End-User purposes and needs.

11. Termination of Agreement
11.1. "Happy Chinese, Inc." has the full authority to terminate the License
Agreement in case of any breach of this Agreement.
11.2. You have the right to terminate the License Agreement at any time you
like.
11.3. When terminating the License Agreement, you are bound to stop any
use of the software and destroy all your copies and components of the
software rendering its further use impossible.
